This Master Services Agreement (the "Agreement") is between Sorenson Advertising, LLC, a Utah limited liability company, 333 W 2230 N, Suite 200, Provo, UT 84604 ("Revolt Local," "we," "us"), and the business that signs it at signup ("you").

It takes effect on the date you sign it electronically (the "Effective Date"). The plan, price, billing interval, destination and any add-ons you chose at signup make up your Order Summary, which is shown before you sign and on your receipts. The Order Summary is part of this Agreement.

1What we do

1.1Services. We produce and manage marketing for your business at the tier on your Order Summary. What each tier includes is listed in Exhibit A. Anything not in Exhibit A is outside this Agreement unless we both agree to it in writing.

1.2A person reviews everything. A named Revolt Local Team Member reviews every piece of content before it is published for you. Nothing is published by an automated system on its own.

1.3Your approvals. Some items need your approval before they go live: website copy, replies to critical reviews, anything using a named person's words or likeness, and paid-ad creative. If you don't respond to an approval request, we follow up. We never treat silence as approval for these items.

1.4Your point of contact. A named Revolt Local Team Member is your point of contact. If that person changes, we'll tell you.

1.5Support. Support is by email at hello@revoltlocal.com, with a reply within one business day. For urgent matters we respond by phone the same business day: content published in error, a 1–2 star review raising safety, discrimination or allergen concerns, a billing failure, or lost access to one of your accounts.

2What we do not promise

2.1No guaranteed results. We do not guarantee search rankings, traffic, reviews, bookings, sales, revenue or any other outcome. We commit to doing the work in Exhibit A carefully, on schedule, with a person reviewing it.

2.2Reviews. Review campaigns are measured by how many of your customers we ask for a review, not by how many reviews you receive. We can't control whether a customer writes a review or what it says.

2.3Other platforms. Google, Meta, TikTok, LinkedIn, Yelp, email providers and similar platforms set their own rules and can change them, suspend accounts or limit what we can do. We aren't responsible for their decisions. When a platform blocks automated publishing, we post by hand or tell you what's affected.

3Your responsibilities

3.1Accurate information. Give us accurate information about your business (hours, prices, menus, services, policies) at intake and in your monthly update, and tell us promptly when something changes. We publish based on what you give us.

3.2Images and materials. You are the main source of photos and brand files. By uploading them, you confirm you own them or are licensed to use them this way. We may hold back anything whose rights are unclear. The volume of content may be reduced if suitable imagery isn't available.

3.3Account access. Grant the access described in Exhibit B and keep it in place during the term.

3.4Acceptable Use Policy. You'll follow our Acceptable Use Policy. That includes giving every customer in a review campaign the same request, and only giving us email lists of people who agreed to hear from you.

4Fees and payment

4.1Fees. You pay the fees on your Order Summary. Prices can differ by destination. A negotiated price or promotion applies only as shown on your Order Summary.

4.2Build fee. On a monthly plan, the one-time build fee on your Order Summary is charged when you sign, before work begins. Annual plans have no build fee.

4.3Billing. Fees are charged in advance to the payment method you provide, monthly or annually according to your plan, through our payment processor, Stripe. We never store your full card number.

4.4Failed payments. If a payment fails, we retry it and email you each time. If the balance is still unpaid 7 days after the first failed attempt, the Services pause as described in section 7.4.

4.5Price changes. We may change prices with at least 60 days' written notice. A change never applies to a period you've already paid for, or to your minimum or annual term.

4.6Taxes. Fees don't include taxes. We don't currently charge sales tax on these Services. If a government authority later requires tax on any part of the Services, you'll pay it, and we'll tell you before it first appears on an invoice.

4.7Founding-destination pricing. If your Order Summary identifies you as a founding customer of a destination, your price is locked for 24 months from the Effective Date.

4.8Ad spend is separate. Advertising spend is never part of our fees. See section 6 and Exhibit C.

5How we use AI

5.1Disclosure. We use AI tools to prepare first drafts of your content, based on the real facts of your business that you give us. A person on our team reviews and edits all of it before it's published.

5.2What we never do. We never:

  • invent facts about your business, such as menu items, hours, prices, awards or amenities
  • fabricate a customer quote, review, testimonial or story
  • write as a named real person, or use their likeness, without that person's approval
  • use AI-generated images to show your actual property, food, rooms, products or people (AI imagery is only used for abstract or background visuals)

5.3Always handled by a person. Content about safety, allergens, or medical or legal claims, and every reply to a 1–2 star review, is written and approved by a person.

5.4Labeling. We don't add AI disclosures to your published content beyond the labels platforms apply automatically.

6Your accounts and your ad money

6.1Your accounts stay yours. Your Google Business Profile, social media accounts, ad accounts, website domain and email-sending domain belong to you. We only hold manager or partner-level access, never ownership, as set out in Exhibit B.

6.2Ad spend. If your plan includes paid advertising, the ad accounts are in your name and your payment method pays the ad platforms directly. Your ad money never passes through our accounts, and we never mark it up. We manage campaigns within the monthly budget you approve under Exhibit C.

7Term and ending the Agreement

7.1Term.

  • Monthly plans have a 6-month minimum term starting on the Effective Date.
  • Annual plans have a 12-month term, paid in advance.

7.2After the term. After your minimum or annual term ends, your plan continues month to month and you may cancel at any time. Cancellation takes effect at the end of the billing month in which you cancel.

7.3Cancelling early. If you cancel a monthly plan before the 6-month minimum term ends, the monthly fees for the remaining months of the minimum term are still due.

7.4Suspension for non-payment. While a payment is overdue past the period in section 4.4: new content and scheduled posts pause; content that's already published stays published; your website stays online until 21 days after the first failed attempt and then shows a holding page (never an error page); and none of your data is deleted during this period.

7.5Refunds. If your business genuinely closes or is sold during an annual term, we'll refund the unused months pro rata. We don't give refunds for a change of mind. Build fees are non-refundable once work has started.

7.6Ending for cause. Either of us may end this Agreement if the other materially breaches it and doesn't fix the breach within 30 days of written notice. We may also end it immediately if you use the Services unlawfully or seriously breach the Acceptable Use Policy.

7.7When the Agreement ends, you keep everything. Within 30 days we will:

  • export your website to you, or transfer it to a host you choose
  • remove our manager access from your accounts, which returns them to owner-only access
  • deliver your brand guidelines and your content library

We never hold your domain, business listing or content as leverage, including when there is a billing dispute. Any unpaid fees remain owed, but we won't withhold your accounts or materials to collect them.

8Ownership

8.1What's yours. You own the deliverables we create specifically for you: website content and design, brand guidelines, written content and graphics.

8.2What's ours. We keep ownership of our software platform, templates, prompts, processes and workflows, and of destination-level research that isn't specific to your business. You get a permanent license to use anything of ours that's built into your deliverables.

8.3Your materials. You keep ownership of everything you give us. You grant us a license to use it to provide the Services during the term, and to keep records afterward as section 11 allows.

9Category exclusivity

For the term of this Agreement, we won't take on another business in your category in your town within the destination on your Order Summary. The first business to sign holds the slot. Your category and town are the ones you selected at signup. We may work with a business in your category in a different town in the same county, and if we do, we'll tell both businesses in writing.

10The destination partner

10.1You may have joined through a destination marketing organization (the "DMO"). The DMO is a referral partner only. It isn't a party to this Agreement, doesn't pay for your Services and doesn't direct our work for you.

10.2What the DMO sees. The DMO has a read-only dashboard with aggregate information for the destination, such as combined review growth and website performance, and a list of participating businesses. It does not see your fees, ad spend, review content, contract or monthly report. Account health appears only as counts, never by business name.

10.3Opting out. You can ask not to appear on the list of participating businesses and still stay in the program.

10.4If the DMO relationship ends, your Services continue unchanged. Co-branding is removed at your next renewal or within 90 days, whichever is later.

11Confidentiality and data

11.1Each of us will keep the other's non-public business information confidential and use it only to carry out this Agreement.

11.2Account access tokens are stored encrypted. You can revoke them at any time, though revoking access may stop us from delivering parts of the Services.

11.3Our handling of personal information is covered by our Privacy Policy. Before we send email to your customers, a Data Processing Agreement will apply, under which we act only as your processor for that list. We never sell your data or your customers' data.

11.4Retention. After this Agreement ends, we keep your records for 90 days so we can complete the handback, then delete or anonymize them. The exceptions are records the law requires us to keep, and our approval audit trail, which we keep for 3 years as the record of what was approved.

12Warranties and disclaimers

12.1Each of us confirms we have the authority to enter into this Agreement.

12.2We will perform the Services professionally and in line with generally accepted industry practice.

12.3Except as this Agreement says, the Services are provided "as is," and we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

13Limitation of liability

13.1Neither of us is liable to the other for indirect, incidental, special or consequential damages, or for lost profits or revenue.

13.2Our total liability under this Agreement is limited to the fees you paid us in the 12 months before the claim arose.

14Indemnity

14.1You will defend us against third-party claims arising from materials you provided (including image-rights claims), inaccurate information you supplied, or your breach of the Acceptable Use Policy.

14.2We will defend you against third-party claims that content we created, other than your materials, infringes that party's intellectual property.

15General

15.1Governing law. Utah law governs this Agreement. Any dispute will be heard in the state or federal courts in Utah County, Utah, except that either of us may use small-claims court.

15.2Electronic signatures and notices. Electronic signatures are binding. Notices may be sent by email to the addresses on file.

15.3Entire agreement. This Agreement, its Exhibits, your Order Summary, and our Privacy Policy and Acceptable Use Policy (both incorporated by reference) are the entire agreement between us. If they conflict, the order of priority is: the Order Summary, then this Agreement, then the Exhibits, then the policies.

15.4Changes. Changes to this Agreement must be in writing and accepted by both of us. The version you signed always stays available in your document center.

15.5Assignment. Neither of us may assign this Agreement without the other's consent, except that we may assign it to a successor company that takes over the Revolt Local business.

15.6Other terms. We are independent contractors. If any part of this Agreement is unenforceable, the rest still applies. Not enforcing a term isn't a waiver of it. Neither of us is responsible for delays caused by events beyond our reasonable control.

  • Bookings: we link to your existing booking or reservation system. We don't build or integrate booking systems, and we don't hold booking data.

Not included

These are available separately by written agreement:

Exhibit B

Platform Access and Authority Grant

For the term of this Agreement, you authorize us to access the accounts below at manager or partner level only, and only to deliver the Services.

  • Google Business Profile: manager access. Never owner or primary owner.
  • Meta Business Portfolio (Facebook and Instagram): partner access with named permissions for each asset. Never portfolio ownership.
  • TikTok Business Center: partner access with named permissions for each asset. Never ownership.
  • LinkedIn Page: content admin access. Never super admin.
  • Google Ads, Meta Ads and TikTok Ads: manager access, within the budget in Exhibit C. Never billing ownership, and never our payment method on your account.
  • Website domain and DNS: access to the records needed for your website and email authentication. Never registrar ownership or a domain transfer.
  • Review platforms (through our review tool): access to read reviews and post replies.

What you authorize. Publishing approved content, replying to reviews under the approval rules in sections 1.3 and 5.3, updating your business listings with facts you supplied, and managing approved ad campaigns.

Revoking access. You can revoke any access at any time. Deliverables that depend on it pause, and don't count against Exhibit A, until access is restored. When this Agreement ends, we remove our access within 30 days.

Exhibit C

Ad-Spend Authorization

This exhibit applies to Full Stack plans and to Growth plans with the paid-media add-on.

  • Your budget. You approve a monthly ad budget, in writing, with your Revolt Local Team Member during onboarding. That budget applies until you change it.
  • Paid directly by you. All ad spend is charged by the ad platforms to your own payment method. We never pay, hold, advance or mark up ad spend.
  • The 10% limit. We won't let actual monthly spend exceed your approved budget by more than 10% without your written approval. Platforms can spend up to about twice the daily budget on a single day, so we set caps at the platform level and reconcile each month against the platform's own invoice.
  • Changing your budget. Email us to change your budget. The change takes effect within 2 business days.
  • Creative. You approve all paid-ad creative before it runs.
  • Results. No results from ad spend are guaranteed.
